Terms of Service

Effective October 27, 2026

1. Agreement

These terms are a contract between you and Early Forge Venture Studio LLC (“Early Forge,” “we,” “us”), the operator of Social Relay (also written SocialRelay), including its website, app and API (the “Service”). By creating an account or using the Service you accept these terms and our Privacy & Cookie Policy. If you use the Service for a company or client, you accept them for that organization too and confirm you may bind it.

2. The service

Social Relay helps you write, schedule and publish posts to social networks you connect, and shows how they did. Features and the networks we support can change for technical, legal, security or platform reasons. We don’t control the networks: we can’t guarantee that a network accepts, publishes or keeps a post, and a network changing its rules or revoking access can stop a post going out.

3. Accounts

You must be at least 18 (or the age of majority where you live) and give accurate account information. Keep your password safe — you’re responsible for activity under your account and workspaces, including by team members you invite. Tell us promptly if you think your account has been compromised.

4. Connected social accounts

Connect only accounts you own or are authorized to manage. When you do, you authorize Social Relay to use the permissions you approve to publish and act at your direction. You remain responsible for following each network’s terms, community rules, advertising and branded-content rules, music and intellectual-property requirements, and rate limits. Social Relay is not endorsed by or affiliated with any network. You can disconnect an account in Social Relay or revoke access in the network’s settings at any time.

When using TikTok features, you must also comply with TikTok’s applicable terms, policies and developer rules. You control each TikTok post’s privacy, interaction, commercial-content, AI-generated-content and music declarations presented by Social Relay.

5. Your content

You own what you put into the Service — text, images, video, audio and other material (“Your Content”). You give us a limited, worldwide, non-exclusive license to host, copy, process, reformat and transmit Your Content only as needed to run and secure the Service and carry out your instructions. The license ends when Your Content is deleted from our active systems, subject to backup retention and legal obligations.

You confirm you have every right, license and consent needed for Your Content and its publication — including music, trademarks, likenesses and other people’s personal information — and you’re responsible for it and for the audiences you choose.

6. AI features

Caption, hashtag, image and assistant suggestions are generated by AI and can be wrong, unoriginal or unsuitable. Review them before you publish — what you post is your decision and your responsibility. The assistant asks before scheduling anything, and nothing it drafts is published without your confirmation.

7. Acceptable use

Don’t use the Service to break the law or anyone’s rights; publish fraudulent, deceptive, defamatory, obscene, abusive, hateful or harmful material; send spam or malware; impersonate others; collect data without authorization; get around network safeguards or rate limits; probe, overload or disrupt the Service; access another user’s account; or reverse engineer the Service except where law allows. We may suspend accounts that do.

8. Plans, billing and taxes

  • Plans, limits, trial terms and prices are shown before you buy. Payments are processed by Stripe.
  • Paid plans renew each billing period until you cancel. Applicable taxes may be added.
  • Cancelling stops the next renewal; you keep access until the end of the period you’ve paid for. Except where the law requires otherwise, payments already made are non-refundable.

9. Our intellectual property

The Service — its software, design, branding and documentation, excluding Your Content — belongs to Early Forge Venture Studio LLC and its licensors. We give you a limited, revocable, non-transferable right to use it for its intended purpose. Network names and logos belong to their owners and appear only to identify the networks you connect.

10. Suspension and termination

You can stop using the Service at any time. We may limit, suspend or end access when reasonably needed to protect the Service or others, for non-payment, to comply with law or network requirements, or for a material breach of these terms — with notice and a chance to fix it where practical. Terms that by their nature should survive termination will survive.

11. Disclaimer of warranties

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted or error-free operation, preservation of content, or acceptance of posts by third-party networks. Nothing here excludes warranties that cannot lawfully be excluded.

12. Limitation of liability

To the fullest extent allowed by law, Early Forge Venture Studio LLC and its owners, personnel and providers will not be liable for indirect, incidental, special, consequential or punitive damages; lost profits, revenue, data or goodwill; or the acts and omissions of third-party networks. Our total liability for any claim is limited to the greater of US $100 or the amount you paid us in the twelve months before the claim.

13. Indemnification

You will indemnify Early Forge Venture Studio LLC and its personnel against claims, losses and reasonable expenses arising from Your Content, your connected accounts, your misuse of the Service or your breach of these terms.

14. Changes

We may update these terms; material changes take effect when posted here with a new effective date, and we will give extra notice where the law requires. Continued use after that date is acceptance.

15. Governing law and disputes

These terms are governed by the laws of the United States and the state in which Early Forge Venture Studio LLC is organized, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in that state, except where consumer-protection law gives you the right to bring a claim where you live. Before filing a claim, each side agrees to try in good faith to resolve it informally for 30 days after written notice.

16. General

If a provision is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver. You may not assign these terms without our consent; we may assign them as part of a reorganization, merger, acquisition or transfer of the Service.
